The agreement governing access to Keyfolio's agency billing workspace.
Agreement and eligibility
These Terms govern your use of Keyfolio, operated by Keyfolio. By creating an account, using Keyfolio, or accepting these Terms for an organization, you agree to them and confirm that you are at least 18 and authorized to bind that organization. If you do not agree, do not use Keyfolio.
The service
Keyfolio helps agencies organize provider usage, assign usage to clients, prepare invoices, schedule invoice delivery, and offer Stripe-hosted payment links. Keyfolio is not a bank, money transmitter, payment processor, tax adviser, accounting firm, OpenRouter service, or Stripe service. You remain responsible for your customer relationships, pricing, invoices, taxes, records, payment obligations, and compliance with laws and third-party terms.
Your account and connected services
Keep account credentials confidential and use strong, unique passwords. You are responsible for activity under your account and for ensuring each user has authority to use it. You may connect a provider only when you have the right to access and use the relevant credentials and usage data. You must not provide credentials that belong to another person or bypass provider access controls. Stripe services are separately governed by Stripe's agreements.
Your data
You retain ownership of the data you submit to Keyfolio. You grant us a limited right to host, process, transmit, and display that data solely to provide, secure, and improve the service and comply with law. You are responsible for the accuracy, legality, and permissions for client, provider, and invoice data you submit. Where you process personal data through Keyfolio, the Data Processing Addendum applies.
Fees and payments
Any Keyfolio subscription, fee, renewal, or refund terms will be presented in an order form, checkout, or other written agreement. Client invoices that you create through Keyfolio are your invoices, not ours. Stripe may charge separate fees under its own agreement. You are responsible for any applicable taxes other than taxes based on Keyfolio's net income.
Acceptable use and suspension
You must follow the Acceptable Use Policy and may not use Keyfolio unlawfully, interfere with the service, probe or bypass security controls, introduce malware, infringe rights, or use the service to create deceptive or unauthorized invoices. We may suspend or restrict access where reasonably necessary to protect users, comply with law, investigate abuse, or address a material breach.
Disclaimers
Keyfolio is provided on an "as is" and "as available" basis to the maximum extent permitted by law. We do not guarantee that provider data is complete, current, or error-free; that an invoice will be delivered, collected, or legally sufficient; or that the service will be uninterrupted. Verify usage, pricing, invoice terms, tax treatment, and payment status before relying on them.
Liability
To the maximum extent permitted by law, Keyfolio and its suppliers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or lost profits, revenues, data, goodwill, or business interruption. Our aggregate liability for claims relating to Keyfolio will not exceed the amounts you paid us for Keyfolio in the twelve months before the event giving rise to the claim. Nothing in these Terms excludes liability that cannot lawfully be excluded.
Changes, termination, and contact
You may stop using Keyfolio at any time. We may change or discontinue the service or these Terms; material changes will be posted here with an updated effective date. Continued use after the change takes effect means you accept it. These Terms are governed by the laws and forum specified in your applicable order form or, absent one, the law required by the jurisdiction of the contracting Keyfolio entity.
